Music
Review and negotiation of recording contracts offered to artists, advice regarding contracts needed for independent production and distribution, protecting and registering copyright, band and other names availability and protection, licensing and “covering” compositions. (Note: we do not “shop” albums.) Band internal agreements and business formation (see “Choice of Entity” page). Independent record labels, agreements with artists, writers, and other creative personnel.
Film & Video
Films involve a multiplicity of contracts, from optioning screen rights to agreements with directors and other talent, to distribution agreements. Review of clearances and other documents necessary to obtain Errors and Omissions insurance (required by most distributors) is often an important step in completing film production.
Print
Review and negotiation of publishing agreements; review of royalties statements for general compliance with terms of contract; review of older book publishing contracts to determine ownership of subsidiary rights such as film, TV, or merchandising.
Multimedia
Multimedia productions typically take materials from a very large number of sources; we can assist producers in determining when clearances or other permissions are needed and in negotiating them or educating their staff in the negotiation of clearances.
Choice of Entity
Most projects of any size need an “entity” as a production or rights-holding company. Clients are advised as to the appropriateness of various forms of entity, including partnerships, limited partnerships, Limited Liability Companies, For-Profit and Non-Profit Corporations.
Business Formation
Preparing partnership agreements, Articles of Incorporation, and the related documents necessary to establish an entity once the choice has been made.
